Terms of Use (EULA)

Effective: June 26, 2026

These Terms of Use are the agreement between you and Lani Companion Health LLC for using Lani. They also serve as our End User License Agreement (EULA) for our mobile apps, including Lani Companion and Lani Circle. We've written them in plain language so they're easy to follow. By creating an account or using Lani, you agree to these terms. If you don't agree, please don't use the app.

Who we are

Lani Companion Health LLC ("Lani," "we," "us") makes Lani, a warm AI companion for older adults and the families who love them. You can reach us anytime at admin@lani.health. These terms cover our website at lani.health and our mobile apps, including Lani Companion (iOS Bundle ID app.lani.health; Android package app.lani.health) and Lani Circle (iOS Bundle ID health.lani.circle; Android package health.lani.circle).

Apple App Store EULA. For apps downloaded from the Apple App Store, these Terms of Use are the app's Terms of Use and EULA and incorporate Apple's Standard Licensed Application End User License Agreement where required by Apple. You can read Apple's standard EULA at apple.com/legal/internet-services/itunes/dev/stdeula/.

What Lani is — and what it isn't

Lani is a supportive companion: it listens, chats, helps you keep track of how you're feeling, offers gentle wellness check-ins, and helps you stay connected with the family members you choose.

Lani is not a medical device, doctor, therapist, or emergency service. It does not diagnose, treat, or provide medical advice, and it is not a substitute for professional care. Always talk to a qualified clinician about your health, and never disregard professional advice because of something in the app. The wellness check-ins (such as short mood, loneliness, or anxiety questions) are gentle self-reflection tools, not diagnoses.

Who can use Lani

You must be at least 18 years old to create a Lani account. Lani is designed for older adults and the family members or caregivers who support them. If you're setting Lani up for a loved one, please make sure they're comfortable with it and that you have their permission to help manage their information.

Your account

You sign in with your phone number or email address and a one-time code. Keep access to your phone, email, and your account secure, and let us know right away at admin@lani.health if you think someone else has gained access. You're responsible for what happens under your account.

Subscriptions, free trials, and billing

Lani offers a free tier and paid plans (Lani Plus and Lani Unlimited). In Lani Circle, an authorized family member or caregiver may buy a subscription for a paired loved one using the caregiver's own Apple ID or Google account. Paid plans are billed as auto-renewing subscriptions through the Apple App Store or Google Play, under their terms.

Gift subscriptions. A caregiver or family member ("Purchaser") may buy a subscription that is granted to the person they care for ("Recipient"). The Purchaser is the subscriber of record and is charged through their own Apple App Store or Google Play account, where the subscription auto-renews until cancelled. The Purchaser manages and cancels the subscription through that store account. The Recipient receives access to the paid features but is not charged and is not the account holder. If the Purchaser cancels, the Recipient's access continues through the end of the then-current paid period and then ends; cancellation does not immediately remove the Recipient's access. If the Recipient already has an active paid subscription, a gift does not stack or create a duplicate subscription: if the Recipient is already on the highest tier, no purchase is offered; if they are on a lower tier, only an upgrade to the higher tier is offered. The Purchaser remains responsible for all subscription charges whether or not the Recipient actively uses the service.

Using Lani responsibly

Your health information

Some features let you record health-related information or connect health data, and share a summary with the family members you choose. You stay in control of what you share and with whom. How we handle your information is described in our Privacy Policy, which is part of these terms.

Emergencies

In an emergency, call 911 (or your local emergency number). If you are in crisis or thinking about harming yourself, call or text 988 (the Suicide & Crisis Lifeline). Lani's SOS, fall, and check-in features notify the emergency contacts you have chosen — they are not a monitored alarm or dispatch service, and we cannot guarantee a message will be delivered or that anyone will respond. Do not rely on Lani as your only safety net.

Our content and yours

Lani, including its name, design, and software, belongs to us. We grant you a personal, non-transferable, revocable license to use the app for its intended purpose. Anything you create or enter stays yours; you give us permission to process it solely to provide and improve Lani, as described in our Privacy Policy.

The app is provided "as is"

We work hard to make Lani helpful and reliable, but it is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We don't promise the app will always be uninterrupted, error-free, or that messages or alerts will always be delivered.

Limits on our liability

To the fullest extent permitted by law, Lani Companion Health LLC is not liable for indirect, incidental, special, or consequential damages arising from your use of (or inability to use) the app, and our total liability is limited to the amount you paid us in the 12 months before the claim. Some places don't allow these limits, so parts may not apply to you. Nothing in these terms limits liability that cannot be limited by law.

Ending your use

You can stop using Lani at any time and delete your account from within the app (Settings → Delete account), which removes your data as described in our Privacy Policy. We may suspend or end access if these terms are violated or to protect users or our service.

Changes to Lani and to these terms

We may update the app and these terms over time. If we make a meaningful change, we'll update the date above and, where appropriate, let you know in the app. Continuing to use Lani after a change means you accept the updated terms.

Disputes — Arbitration and Class Action Waiver

Informal resolution first. Before filing any legal claim, you agree to contact us at support@lani.health and give us 30 days to resolve the dispute. We will respond within 5 business days. Most concerns can be resolved this way, and we are committed to working with you directly.

Small claims court. Either party may bring an individual claim in small claims court in the county where you reside, provided the claim qualifies under that court's jurisdictional limits. No arbitration is required for small claims court matters.

Arbitration for other disputes. If informal resolution does not resolve the dispute and the claim does not qualify for small claims court, you and Lani agree to resolve it through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will be conducted in Florida or, at your election, by videoconference. Lani will pay the AAA filing fee for claims you bring.

Class action waiver. YOU AND LANI EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All disputes must be brought individually. This waiver is an essential term of this agreement; if it is found unenforceable, the entire arbitration section is void.

Opt-out. If you do not want this arbitration agreement to apply to you, you may opt out by emailing support@lani.health within 30 days of first creating your Lani account. Your opt-out must include your name and the email address associated with your account. Opting out does not affect your right to use Lani.

Exceptions. Nothing in this section limits either party's right to seek emergency injunctive relief in court to prevent irreparable harm, or to protect intellectual property rights.

Survival. This section survives termination of your account or these Terms.

Governing law

These terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Florida, unless applicable law requires otherwise.
